Partnership Terms – Air Party Stay

​

1. Brand Visibility

   • Air Party Stay shall feature and brand the Merchant Outlet on its official website.

2. Lead Generation

   • Air Party Stay will actively work to maximize lead generation for the Merchant Outlet through a combination of offline and online marketing channels.

3. Property Details & Media

   • The Merchant Outlet agrees to provide high-quality images and complete amenity details of their property. These will be used for promotional purposes across Air Party Stay’s website and social media platforms.

4. Listing Updates

   • Any changes to the property's listing must be communicated via email, SMS, or WhatsApp. Air Party Stay will implement such updates within 10 working days of receiving the request.

5. Legal Compliance

   • The Merchant Outlet confirms that it holds all necessary licenses and permits required to accept and host guest bookings at the listed property.

6. Performance Reports

   • Monthly performance reports may be shared with the Merchant Outlet at Air Party Stay’s discretion, based on necessity and relevance.

7. Partnership Packages

   • Custom packages may also be curated based on the Merchant Outlet’s specific visibility and lead generation needs.

 

Trademark Usage Terms

1. Trademark Ownership
   The Merchant Outlet confirms that it owns the trademark and has the legal authority to grant Air Party Stay permission to use it.

2. Rights Remain with Merchant
   Air Party Stay acknowledges that all rights, ownership, and goodwill associated with the trademark remain the exclusive property of the Merchant Outlet.

3. Design Approval
   The Merchant Outlet must approve the design, color, format, and overall representation of the trademark. Air Party Stay will only use versions that have been approved.

4. Marketing Compliance
   All advertising, marketing, and promotional materials featuring the trademark will follow the brand guidelines provided by the Merchant Outlet.

5. Purpose of Use
   The trademark will be used solely for listing and promoting the Merchant Outlet on Air Party Stay’s website, mobile application, and social media channels.

6. License Scope
   The Merchant Outlet grants Air Party Stay a limited, non-exclusive, non-transferable, and non-assignable license to use the trademark during the term of this agreement.

 

Termination & Refund

​

• This Agreement may be terminated by either party (the “Non-Defaulting Party”) with 30 days’ written notice if:

  • The other party breaches the Agreement and does not fix the issue within the notice period.

  • Either party goes into liquidation, insolvency, administration, or stops operating.

• The Agreement can also be terminated by mutual consent at any time.

• No refunds will be issued for subscription fees under any circumstances.

• When the Agreement ends, all rights and obligations will end as well, unless otherwise specified in this Agreement.

 

Indemnification

The Merchant Outlet agrees to indemnify and hold harmless Air Party Stay, including its partners, employees, agents, and affiliates, from and against any:

• Losses, damages, liabilities, expenses, claims, suits, or legal proceedings resulting from any misrepresentation or breach of this Agreement by the Merchant Outlet.

• Costs arising due to negligence, misconduct, or failure by the Merchant Outlet to meet its obligations under this Agreement.

• Any unlawful or criminal acts committed by the Merchant Outlet, its staff, or customers. Air Party Stay will not be held responsible or liable for such actions in any form

 

Governing Laws & Arbitration

​

• Any disputes arising from this Agreement will first be addressed through amicable negotiation or mediation.

• If unresolved, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.

• The arbitrator will be mutually appointed by both Parties.

• Legal jurisdiction for any disputes lies exclusively with the courts and tribunals in Gurugram (Haryana), India.​
